3. Confidentiality and Non-Disclosure Obligations:

• Maintain the strict confidentiality of all Proprietary Information.

• Refrain from disclosing, reproducing, distributing, or transmitting any Proprietary Information to any third party without the prior written consent of the Company.

• Utilize the Proprietary Information solely for the purposes explicitly authorized by the Company.

• Not attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying structure of any software or technology incorporated within the Proprietary Information.

• Implement and maintain reasonable security measures to prevent unauthorized access to or use of the Proprietary Information.

• Immediately notify the Company of any suspected or actual breach of confidentiality.

4. Company Policy and Enforcement:

Unauthorized disclosure or use of Proprietary Information constitutes a material breach of this Agreement and a violation of Company policy. The Company reserves the right to pursue all available legal and equitable remedies, including injunctive relief, monetary damages, and termination of access to this website, without prejudice to any other rights or remedies.

5. User Authentication and Security:

The User is responsible for maintaining the confidentiality of their authentication credentials (username and password) and for all activities conducted under their account. The User shall promptly notify the Company of any unauthorized access or suspected security breach.

6. Disclaimer of Warranties and Limitation of Liability:

This website and its content are provided on an "as is" and "as available" basis. The Company disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the User's access to or use of this website or the Proprietary Information.  

7. Modification of Terms:

8. Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of the Worcester County Superior Court, without regard to its conflict of law principles. Any dispute arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Worcester Co., Massachusetts.  

9. Severability:

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
